1. Introduction
The Nanny Network, LLC (“TNN” or “We”) offers brand supporters (“Referrer” or “You”) the opportunity to participate in its referral program (“Program”). By participating, you agree to these Terms and Conditions.
2. Agreement to Terms
By participating in the Program, Referrers agree to use the Program as specified in these Terms and Conditions.
We reserve the right to amend or terminate the Program at any time, for any reason, including disqualifying any Referrer who does not comply with these Terms and Conditions or applicable laws.
3. Eligibility
3.1. Age Requirement
No part of the Program is directed to persons under 18 years of age. If you are under 18, you may not participate.
3.2. Eligible Referrer
To be eligible, a Referrer must:
- Be a legal resident of the United States.
- Be at least 18 years old.
4. How the Program Works
4.1. Program Participation
To participate, visit https://nanny-network.com/app/referrals and follow the instructions to refer referees by entering their contact information.
4.2. Making a Referral
- You must register at https://nanny-network.com/app/referrals to make a referral.
- Once you refer a referee, you will receive a confirmation email and will be contacted if a Qualified Referral is made by the referred referee within 180 days.
- Referrers must only refer real individuals who meet the requirements of these Terms and Conditions.
- Referrers cannot refer themselves or create multiple or fake accounts.
- Limit: Each Referrer is limited to three (3) referrals per week.
4.3. Qualified Referrals
For the purposes of this Program, a “referee” is the person or entity you are referring to TNN. This can be:
- An individual client seeking care services.
- A care provider (e.g., nanny) looking to offer services through TNN.
- A corporate entity (e.g., HR department) interested in partnering with TNN.
A “Qualified Referral” means that all the following conditions are met:
- The referee completes one of TNN’s core services, meeting the specific requirements outlined below.
- The referee is a legal resident of the United States and at least 18 years old.
- Only one Qualified Referral can be earned for each referee. Any additional or subsequent engagements by the same referee will not be considered separate Qualified Referrals.
4.3.1. Core Services and Specific Requirements
a. Long-Term, Full-Time Placement, Long-Term Part Time, and Long-Term Temporary
- Definition:
- Long Term – Full-Time : 30+ hours per week for 12 or more months.
- Long Term – Part Time: under 30 hours per week for 12 or more months.
- Long Term – Temporary: 2- 12 months, 21+ hours per week.
- Requirements:
- The referee completes the hiring process with TNN.
- TNN has received the Placement Fee in full.
- The referee completes 90 days with the family
b. Backup Care (Client or Care Provider Referrals)
Definition: Referrals of clients or care providers (e.g., nannies) for Backup Care services.
- Requirements:
- For Care Provider Referrals:
- The care provider (referee) must complete ten (10) jobs with TNN before the Referrer is eligible for a Reward.
- For Client Referrals:
- The client (referee) must engage TNN for Backup Care services.
- TNN has received any applicable fees in full.
- The client must utilize Backup Care services for at least ten (10) jobs/bookings.
c. Corporate Referrals
- Definition: Referrals of corporate entities (e.g., HR departments).
- Requirements:
- The company must sign up with TNN.
- TNN has received the corporate management fee in full.
4.4. Earning Rewards
- Nullification of Rewards: Rewards are nullified if:
- The Qualified Referral fails to pay the Placement Fee in full.
- The Qualified Referral issues a chargeback on the Placement Fee.
- The Qualified Referral engages TNN in arbitration regarding the Placement Fee.
4.5. Verified Qualified Referrals
- Rewards are subject to verification.
- TNN may delay a Reward for investigation and may refuse to verify any transaction deemed fraudulent, suspicious, or in violation of these Terms and Conditions.
- All of TNN’s decisions are final and binding.
4.6. Transfer and Value of Rewards
- Rewards are not transferable.
- Upon termination of the Program, any unredeemed Rewards are forfeited.
5. Privacy
Referrers may participate in the Program to refer referees to TNN. To do this, Referrers must submit personal information about themselves and their referees, such as name and email address, so that TNN can send communications to the referees on the Referrer’s behalf.
- Personal information will be used in accordance with TNN’s Privacy Policy, available at https://nanny-network.com/privacy-policy.
- TNN may send additional follow-up communications to referees.
- Personal information may also be used to contact Referrers regarding their participation in the Program.
6. Liability
By participating in the Program, Referrers agree to:
- Be bound by these Terms and Conditions, the decisions of TNN, and the Privacy Policy.
- Defend, indemnify, release, and hold harmless TNN and its affiliates from any claims arising out of participation in the Program.
TNN is not liable for:
- Late, lost, delayed, or misdirected communications.
- Technical malfunctions or transmission errors.
- Data corruption or unauthorized access.
- Printing, typographical, administrative, or technological errors in any materials associated with the Program.
- Disputes among Referrers or between Referrers and referees.
- Injuries or damages resulting from acceptance or use of any Reward.
TNN reserves the right to cancel, modify, or suspend the Program due to technical issues or other causes beyond its control.
7. Disclaimer of Warranties
Referrers understand and agree that:
- The Program is provided “as is” and “as available.”
- TNN expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- TNN does not guarantee that the Program will meet your requirements or be error-free.
8. Limitation of Liability and Indemnification
Referrers understand and agree that:
- TNN is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from the Program.
- Some jurisdictions do not allow limitations on liability; limitations may not apply to you.
- To the fullest extent permitted by law, TNN’s maximum liability shall not exceed $0.01 USD.
9. Conduct
9.1. Prohibited Conduct
Referrers agree not to:
- Violate any applicable laws.
- Infringe on intellectual property rights.
- Stalk, harass, or harm another individual.
- Impersonate any person or misrepresent your identity.
- Interfere with the Program’s operation.
- Use automated systems, scripts, or bots.
- Transmit viruses or any other malicious code.
- Engage in any illegal or unauthorized activities.
9.2. Bulk Distribution (“Spam”)
- Emails must be sent in a personal manner appropriate for communications with friends and colleagues.
- Bulk referrals, spam, or unsolicited commercial emails are prohibited.
- Violation may result in immediate termination from the Program.
9.3. Fraudulent and Suspicious Behavior
10. Governing Law; Arbitration; Class Waiver; Waiver of Jury Trial
- Governing Law: These Terms are governed by the laws of the State of Maryland, without reference to its conflicts of laws principles.
- Arbitration: Any disputes arising out of or relating to the Program shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Maryland.
- Class Action Waiver: Referrers waive the right to participate in class actions.
- Waiver of Jury Trial: Referrers waive the right to a trial by jury.
11. General Terms
- These Terms constitute the entire agreement regarding the Program.
- TNN’s failure to enforce any right does not constitute a waiver of that right.
- If any provision is found invalid, the remaining provisions remain in effect.
- Section titles are for convenience and have no legal effect.
- A person who is not a party to these Terms has no right to enforce any of them.
